Terms of Service

Agreement

These terms form an agreement between Guarani LLC ("Guarani", "we") and the organization that uses Guarani AI ("Customer", "you"). By using the service, or by accepting these terms on behalf of an organization, you confirm that you have authority to bind that organization. If an order form signed with Guarani differs from these terms, the order form prevails.

Beta services

Guarani AI is in private beta. The service is provided "as is" and "as available". Features, interfaces and limits may change or be removed, and no service level agreement applies during the beta.

Accounts and workspaces

Workspaces are provisioned by Guarani. You are responsible for the members you invite, for keeping access tokens and credentials confidential, and for all activity in your workspace. Tell us promptly at sylvain@guarani-llc.com if you suspect unauthorized use.

Plans, trials and fees

  • Starter costs $99 per month and Growth costs $399 per month. Prices are in US dollars, billed monthly in advance, and exclude taxes, which are added where required.
  • Every plan starts with a 14-day free trial that requires no payment details. Nothing is charged automatically at the end of the trial; we contact you to choose a plan.
  • Enterprise terms, including any service level agreement and its uptime commitment, are set in an order form.
  • We will give at least 30 days' notice before changing the price of your plan. Fees already paid are non-refundable, except where the law or an order form says otherwise.

Customer data

You own the data you submit to the service, including repository content, test artifacts, prompts and outputs ("Customer Data"). You grant Guarani a limited license to host, process and transmit Customer Data only as needed to provide, secure and support the service for you. You confirm that you have the rights needed to submit Customer Data.

No training on customer data

Guarani does not use Customer Data to train machine learning models, its own or anyone else's, and requires the model providers it routes to not to train on it.

AI output

Findings, suggested changes, generated tests and model responses are produced by AI systems and may be inaccurate or incomplete. Review them before merging or relying on them. You decide what ships, and you remain responsible for your software and your releases.

Acceptable use

You agree to:

  • use the service only for lawful purposes;
  • connect only repositories, pipelines and devices that you are authorized to use;
  • not disrupt the service, its infrastructure or other customers;
  • respect the usage limits of your plan and not share credentials or access tokens outside your organization;
  • comply with the usage policies of the model providers that Mesh routes to;
  • not use the service to build a competing service.

Third-party services

The service works with third-party services that you choose to connect, such as GitHub, GitLab and cloud and model providers. Their own terms apply to your use of them, and Guarani is not responsible for them.

Confidentiality

Each party will protect the other's non-public information with reasonable care, use it only to perform under these terms, and disclose it only to people who need it and are bound by similar obligations. This does not apply to information that is public, already known, independently developed or lawfully received from someone else.

Suspension and termination

We may suspend access if needed to protect the service or other customers, for a breach of the acceptable use rules, or for unpaid fees, and we will tell you why. You may stop using the service at any time; paid plans end at the end of the current billing period. Either party may terminate for a material breach that is not cured within 30 days of notice. After termination, you can export your data for 30 days, after which we delete it.

Disclaimers

To the extent the law allows, the service is provided without warranties of any kind, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that the service will be uninterrupted or error-free, or that it will detect every defect, regression or risk.

Limitation of liability

To the extent the law allows, neither party is liable for indirect, incidental, special or consequential damages, or for lost profits or data. Each party's total liability under these terms is limited to the fees Customer paid to Guarani in the 12 months before the event giving rise to the claim.

Indemnification

You will defend and indemnify Guarani against third-party claims arising from Customer Data or from your use of the service in breach of these terms.

Governing law

These terms are governed by the laws of the State of New Mexico, USA, without regard to its conflict of laws rules. The state and federal courts located in Bernalillo County, New Mexico, have exclusive jurisdiction.

Changes

We may update these terms. We will post the new version on this page with a new effective date and notify customers by email of material changes at least 30 days before they apply. Continued use after that date means you accept the updated terms.
